The NIVEA Night Renewal Spa Weekend Sweepstakes (the "Sweepstakes") is jointly sponsored by Epicurious Inc. ("Epicurious"), 4 Times Square, 17th Floor, New York, NY 10036 and Beiresdorf, Inc., Defined as NIVEA, PO Box 662, Wilton, CO 06897 ("NIVEA") (Epicurious and NIVEA are referred to jointly herein as the "Sponsors"). The Sweepstakes is open to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older at time of entry. 1. HOW TO ENTER: Beginning 11:00am Eastern Time ("ET") on March 22, 2004 through 11:00am ET on May 7,2004 (the "Entry Period"), log on to http://condenet.com/promo/nivea/visage/sweeps.html and follow the on-screen entry instructions or click on the NIVEA Night Renewal Spa Weekend Sweepstakes banner and follow the on-screen entry instructions. By entering, you certify that you are 18 years of age or older and otherwise eligible. Entries must be received by 11:00am ET on May 7, 2004 to be eligible. Limit one entry per email address/per person/per household per day for a maximum of forty (47) daily entries for the entire Entry Period. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. 2. RANDOM DRAWING: Potential winner will be selected in a random drawing on or about May 10, 2004 from among all eligible entries received during the Entry Period. Random drawing will be conducted by Epicurious, whose decisions are final and binding with respect to all matters related to the Sweepstakes. Potential winner will be notified by email/mail. Odds of winning will depend upon the number of eligible entries received. 3. PRIZE: Subject to verification and compliance with these Official Rules, one (1) Grand Prize Winner will receive a trip for two (2) to the Kenwood Inn and Spa resort in California. Trip includes :(i) round-trip coach air transportation for two (2) (the Winner and travel companion) to California from major US gateway airport nearest the winner's home; (ii) deluxe accommodations for two (2) nights (based on double occupancy); (iii) The ultimate spa escape includes a Crushed Cabernet Scrub, Barrel Bath or Red Wine Bath, Choice of Body Wrap, LA Stone Therapy Massage, and Imperial Face Treatment. (iv) ground transportation to and from the airport . If winner resides within 100 miles of Sonoma, ground transportation will be provided in lieu of air transportation and no compensation or substitution will be given for difference in prize value. Winner is solely responsible for any meals, gratuities, transportation and any other expenses while on trip that are not mentioned in these Official Rules as being awarded. Certain travel restrictions and blackout dates apply. Winner must make travel arrangements through Sponsors' agent, on a carrier of Sponsors' choice, at least 21 days in advance, but no later than December 31, 2004. Guest must be 18 years of age or older, unless they are accompanied by a parent or legal guardian and must execute and return a liability/publicity release prior to issuance of travel documents. If guest is an eligible minor, the parent or legal guardian must execute and return such documents. Winner and guest must travel together on the same itinerary. Total retail value of prize is approximately $3,600. (Actual retail value may vary depending upon Winner's point of origin and dates of travel). No transfer, substitution or cash will be awarded in lieu of stated prizes except in Sponsors' sole discretion. Trip expires on December 31st 2004. Sponsors may substitute prize (or portion of prize) with one of comparable or greater value, at their discretion. GENERAL RULES: Open only to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older at time of entry. Employees of NIVEA, Epicurious, Inc., and their respective parents, affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members and/or those living in the same household of each, are not eligible to participate or win in the NIVEA Night Renewal Spa Weekend Sweepstakes. Void where prohibited by law. All federal, state and local taxes are the sole responsibility of winner. All federal, state and local laws apply. All entries become the sole property of the Sponsors and will not be acknowledged or returned. Potential winner may be required to sign and return an Affidavit of Eligibility/Release of Liability and, unless prohibited, a Publicity Release within 7 days of issuance. Noncompliance within this time period, with these Official Rules or return of any prize/prize notification as undeliverable may result in disqualification and an alternate potential winner will be selected in a random drawing from the remaining eligible entries received. Acceptance of prize constitutes permission to the Sponsors and their designees to use winner's name, city, state, likeness, voice, biographical information and statements made by winners for purposes of advertising, promotion and publicity in any and all media, now or hereafter known, throughout the world in perpetuity without additional compensation, unless prohibited by law. By participating, entrant agrees to hold Sponsors, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and each of their respective directors, officers, employees and assigns (collectively, the "Released Parties"), harmless against any and all claims and liability arising out of or in connection with participation this Sweepstakes or use of the prize (including any travel related thereto). Entrant assumes all liability for any injury or damage caused, or claimed to be caused, by participation in this Sweepstakes or use or redemption of any prize. By entering this Sweepstakes, entrant waives all rights to claim punitive, incidental and consequential damages, attorney's fees or any damages other than actual out-of-pocket costs incurred to enter. By participating in this Sweepstakes, entrants agree to be bound by the Official Rules and the decisions of the judges. Released Parties are not responsible for incomplete, lost, late, damaged, illegible, or misdirected entries, for technical hardware, software malfunctions or failures of any kind, lost, unavailable network connections, or failed, incomplete, garbled or delayed computer transmission, which may limit a user's ability to participate. Sponsors reserve the right in their sole discretion, to cancel, suspend or modify the Sweepstakes (or any portion thereof), or to disqualify any implicated entrant(s), if any fraud, virus, actions by entrants, technical or other error or problem, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Sweepstakes, as determined by Sponsors in their sole discretion. In the event of cancellation, Sponsors reserve the right, at their sole discretion, to award the prize in a random drawing from among all eligible, non-suspect entries received up to the time of the event or action warranting such cancellation. In the event of such a dispute or in the event a potential winner entered via internet and a dispute arises regarding specific individual entitled to receive prize, entries made by internet will be declared made by the authorized account holder of the email address submitted at the time of entry and any damage made to the web site will also be the responsibility of the authorized account holder. "Authorized account holder" is defined as the person who is assigned to an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. NO WARRANTIES: Sponsors make no warranties covering any of the prizes furnished as part of this Sweepstakes. GOVERNING LAW: This Sweepstakes and the rights and obligations of the Sponsors and participants will be governed by and controlled by the laws of the State of New York, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely within the State of New York, County of New York. The parties consent to the jurisdiction of the state courts of New York and federal court located with such state and county with respect to any action, dispute, or other matter pertaining to or arising out of this Sweepstakes.
