OFFICIAL RULES

1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR RECEIVE A PRIZE. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

2. Sweepstakes entrants and prize recipient must be a legal U.S. resident and at least 21 years old at time of entry to be eligible. Void outside the United States, in Puerto Rico and where prohibited. Employees of CondeNet ("Sponsor"), their parent, affiliated and subsidiary companies, advertising and promotion fulfillment and/or judging agencies; and their immediate families are not eligible. Sweepstakes subject to applicable federal, state and local laws and regulations.

3. SPONSOR: CondeNet Inc., 4 Times Square, 17th Floor, NYC, NY 10036.

4. HOW TO ENTER: This sweepstakes begins at 12:01 AM 11/07/02 Eastern Standard Time ("ET"), and ends at 6:00 PM ET on 12/10/02. To enter, complete the official online entry form and submit the form as directed. Entrants will be required to provide complete name, home address, telephone number, date of birth, and E-mail address. Email address will not be used for future marketing purposes. Limit one entry per household or E-mail address. Multiple or duplicate entries may be disqualified. Sponsors not responsible for entries that are lost, late, illegible, misdirected, garbled or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at Sponsor's servers or elsewhere. ALL ENTRIES MUST BE RECEIVED BY 6:00 PM ET on 12/10/02.

5. WINNER SELECTION: Winner will be selected in a random drawing on or about 12/15/02 by Sponsor, whose decisions on all matters relating to this sweepstakes are final and binding in all respects. Odds of winning depend on the number of eligible entries received.

6. PRIZE. One (1) Grand Prize: round-trip coach air transportation from the commercial airport nearest the Grand Prize Winner's home for two (2) persons, three (3) days/two (2) nights double occupancy accommodations for two (2) persons at the Omni Tucson National Golf Resort and Spa, ground transfers between airport and hotel in Tucson, one round of golf per person, per day, and one spa service per person, per day. Winner and travel companion must be available to travel on the same itinerary and on the dates selected by Sponsors. Certain restrictions and black out dates may apply. Subject to availability. All meals, gratuities, room service charges, incidentals and other expenses not set forth above are excluded. Approximate retail value of prize is $4,000.00, depending on actual itinerary. Prize Winner is solely responsible for income and other taxes, if any, relating to the prize. No substitution, assignment, or transfer of any prize permitted except that Sponsors reserve the right to substitute a prize of equal or greater value. If Grand Prize Winner notification or Prize is returned as undeliverable, Grand Prize Winner is ineligible or Grand Prize Winner declines a prize, an alternate winner may be selected. Grand Prize Winner must supply Sponsors with his/her social security number for tax purposes.

7. CLAIMING PRIZES/RELEASES. Eligibility, age, and claim by Grand Prize Winner are subject to verification. Winner will be notified by email. Sponsor is not responsible for fraudulent calls or e-mails made to entrants not by Sponsor. Potential Prize Winner must sign before a notary and return an Affidavit of Eligibility/Prize Acceptances/Liability and (where legally permissible) a Publicity Release Form within five (5) business days of receipt. Travel companion must also sign before a notary and return a Liability (and where legally permissible) Publicity Release within five (5) days of receipt. Non-compliance may result in disqualification in which case the prize will be awarded to an alternate Winner in a random drawing from among all remaining entries.

8. INTERNET. If for any reason this sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right in their sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participating in this sweepstakes or downloading any materials in this Sweepstakes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity or eligibility of a winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at time of entry. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Use of automated devices are not valid for entry.

9. GENERAL. By entering this sweepstakes, entrants and Grand Prize Winner: (1) agree to be bound by these rules; (2) agree to release Sponsor and its parent, affiliated and subsidiary companies, and advertising and promotion fulfillment and/or judging agencies from all liability, claims, action, or proceedings relating to the sweepstakes and from injuries or damages relating to acceptance or use of the prize; and (3) Prize Winner consents to the use of his/her name, voice, picture and likenesses for advertising and promotional purposes in any medium throughout the world in perpetuity without additional compensation unless prohibited by law.

10.
