“FACES OF CONTADINA” CONTEST
OFFICIAL RULES AND REGULATIONS (THE “CONTEST”)

This Contest is intended for viewing and participation in the 50 United States and Washington D.C. only and shall be construed and evaluated according to the laws of the 50 United States and Washington D.C. Please do not enter if you are not a legal resident of, and not located in, the 50 United States or Washington D.C. at time of entry. VOID IN PUERTO RICO, THE U.S. VIRGIN ISLANDS AND OTHER U.S. TERRITORIES AND POSSESSIONS, AND WHERE PROHIBITED BY LAW.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING.

1. CONTEST PERIOD: Starting September 15, 2008 at 9:00:00 AM Central Time (“CT”) and ending December 31, 2008 at 11:59:59 PM CT (the "Contest Period").

2. ELIGIBILITY: To enter and be eligible to win, you must be a legal resident of the 50 United States, or Washington, D.C. (excluding residents of Puerto Rico, the U.S. Virgin Islands and other U.S. territories and possessions), be 18 years of age or older, and have a valid email address. Persons in any of the following categories are NOT eligible to participate, win prizes or vote: (a) any person who, at any time on or after September 1, 2008, was or is an employee of epicurious.com or was or is a director, officer, agent, representative, or employee of Del Monte Corporation (the “Sponsor”), or its parent, affiliates, subsidiaries, franchisees, or service agencies; (b) individuals engaged in the development, production or distribution of materials for the Contest or engaged in the administration or execution of this Contest (collectively, with the entities listed in 2 (a), the “Contest Entities”), (c) persons who are or purport to be immediate family members (defined as biological or step-mother, father, sister, brother, daughter, son, dependent or spouse of any of the foregoing) of any person in any of the preceding categories, regardless of where they live, or who reside in the same household (i.e., live in the same household for at least 3 of the 12 months preceding the start of the Contest Period, whether related or not) as any person in any of the preceding categories; and (d) any person who is a food professional. For purposes of this Contest, a food professional is hereby defined as someone who derives, or has derived, a salary, fee, or other financial compensation from creating, critiquing, publishing or selling food recipes (including, but not limited to, chefs, food writers and food home economists). (The final determination as to a particular entrant’s food professional status will be the Sponsor’s sole decision.)

3. HOW TO ENTER AND SUBMIT YOUR RECIPES:

From September 15, 2008 at 9:00:00 AM CT to December 31, 2008 at 11:59:59 PM CT (the “Entry Period”), enter at www.sisterhoodofcontadina.com (the “Website”). You will need to register before entering (registration is free). To enter, read and accept these Official Rules and follow the instructions provided to upload a recipe. The recipe must comply with epicurious.com’s requirements for file format and size in order to be considered. Limit of three (3) recipes per person per unique email address and per household per the duration of this Contest. If more than three (3) entries are received from any person/unique email address/household, all of the entrants’ entries will be void. Each recipe will be subject to epicurious.com’s Terms of Use (found at www.epicurious.com), and also screened by the Sponsor for eligibility (see Submission Requirements below) before being posted on the Website. Recipes that do not meet the above requirements will be removed from the Website and will be automatically disqualified in the sole discretion of the Sponsor, epicurious.com and/or the Contest Judges. Entries generated by script, macro or other automated means are void.

As conditions of Contest entry, each entrant acknowledges and agrees that: (a) Sponsor and other participants have access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts which may be similar or identical to the entrant’s Contest entry materials, ideas and/or concepts; (b) the entrant will not be entitled to any compensation or other consideration because of the use by Sponsor or any other participant of such similar or identical material, ideas and/or concepts; and (c) Sponsor’s or other participant’s use of material containing elements similar to or identical with those contained in the entrant’s Contest entry materials shall not obligate Sponsor to negotiate with nor entitle entrant to any compensation or other claim.

By submitting an entry, entrants agree to indemnify and hold Contest Entities (as defined in Rule #2) harmless from and against any and all claims, demands, actions, causes of action, damages, costs or expenses brought against or suffered or incurred by the Contest Entities, or any of them, arising out of or in connection with the participation by the entrants in this Contest, any breach by the entrants of the foregoing warranties or agreements or the use, in whole or in part, by any Contest Entity of any entry (or portion thereof) submitted by the entrants in this Contest.

SUBMISSION REQUIREMENTS:

All recipes:

(i) Must include at least two (2) different Contadina® products (Contadina® Tomato Paste, Contadina® Diced Tomatoes, Contadina® Crushed Tomatoes, Contadina® Stewed Tomatoes, Contadina® Tomato Puree, Contadina® Tomato Sauce, Contadina® Petite Diced) and total preparation time must not exceed forty (40) minutes;
(ii) Must be the original creation of the entrants submitting them, must have not been entered into any other contest or competition, and may not be based in whole or in part on the work of any other person or entity;
(iii) It is not required as part of the submissions, but you have the option of uploading a photo of the finished product.
(iv) Must have not been previously published or accepted for publication and must not be under consideration for publication, and entrants must not disseminate or otherwise submit the recipes to any other entity for publication;
(v) Must not, in the sole and unfettered discretion of Sponsor, incorporate any elements of entries previously submitted by other entrants to the Contest;
(vi) Cannot include ingredients that are considered illegal in any U.S state;
(vii) Cannot (in the sole discretion of Sponsor) advertise or promote any brand or product of any kind other than the Sponsor’s;
(viii) Must be in keeping with the Sponsor’s image (in the sole discretion of Sponsor);
(ix) Must not be offensive or inappropriate, as determined by the Sponsor in its sole discretion, nor can a recipe defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any other third party rights; and
(x) Must be in English.

Recipes that are not compliant with any of the requirements outlined in this Rule #3 will cause the entry to be void, at the discretion of the Sponsor.

OWNERSHIP/USE OF ENTRY: By submitting an entry, entrant hereby grants Sponsor and its designees a non-exclusive, irrevocable, royalty-free, worldwide, perpetual license to exploit the copyright, publicity and database rights entrant has in the entry, any ancillary and subsidiary rights therein in any media now known or not currently known, with respect to the entry. Sponsor reserves the right to edit, publish, print, use, adapt, exploit, modify, copy, disseminate, dispose, broadcast and/or transmit the entry, the concepts embodied therein (or any elements thereof) in any and all media now known or hereafter devised (including via the internet) for advertising and promotional purposes as outlined in these Official Rules, without compensation, permission or notification, unless prohibited by law. Materials submitted in connection with the Contest will become the sole property of Sponsor and will not be returned. Entrant agrees that entries are gratuitous, unsolicited and without restriction, and will not place Sponsor under any obligation, and that Sponsor is free to disclose the ideas contained therein on a non-confidential basis to anyone or otherwise use the ideas without restriction and without any additional compensation to entrant. Entrant acknowledges that, by acceptance of his/her entry, Sponsor does not waive any rights to use similar or related ideas from any source. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrant. By submitting an entry, entrant hereby grants permission for the entry to be posted on epicurious.com or other websites. By entering, entrant acknowledges that Contest Entities have no obligation to use or post any entry submitted. Entrant agrees that Contest Entities are not responsible for any unauthorized use of entries by third parties. Entrants agree that they will not use the entry for any other purpose, including, without limitation, posting the entry to any online social networks, without the express consent of Sponsor in each instance.

4. JUDGING AND VOTING: There will be two (2) rounds of judging and one (1) round of voting.

First Judging Period: From January 1, 2009 at 12:00:00 AM CT to January 31, 2009 at 11:59:59 PM CT, epicurious.com (“Contest Judges”) will judge all the eligible entries received during the Entry Period and will select the top twenty (20) entries based on the following three criteria: (a) use of authentic Italian-style ingredients (i.e., basil, oregano, parmesan cheese, mozzarella cheese, pasta, etc.); (b) variety of Contadina® products used (i.e., diced tomatoes, tomato paste, tomato sauce, etc.); and (c) simplicity of recipe (i.e., easy to find ingredients, most efficient steps for preparation, etc.). Each of the criteria will have the exact same weight. In the event of a tie, an additional, “tie-breaking” Contest Judge will determine the entry that will advance to the Online Voting Period based on the criteria listed herein. Sponsor reserves the right to advance fewer than twenty (20) entries to the Online Voting Period if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. The Contest Judges’ decisions shall be final and binding.

Online Voting Period: From February 1, 2009 at 12:00:00 AM CT to March 1, 2009 at 11:59:59 PM CT the top 20 entries (as determined by the Contest Judges and subject to compliance with these Official Rules) will be posted on the Website. Visitors to the Website may vote for their favorite entries during the Online Voting Period by becoming a Fan of the “Sisterhood of Contadina” by registering at www.sisterhoodofcontadina.com. To be eligible to vote, an individual must be a legal resident of the 50 U.S. or Washington D.C. and at least 18 years of age or older with a valid email address. Limit one (1) vote per person and per email address per day. Multiple votes received from any person or email address in any given day will be void. Votes generated by script, macro or other automated means or with the intent to impair the integrity of the voting process, as determined by Sponsor in its sole discretion, may be void. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. At the end of the Online Voting Period, the twenty (20) entries will move into the Second Judging Period. The results of the Online Voting Period have a 25% weight of the Second Judging Period.

Second Judging Period: From February 1, 2009 at 12:00:00 AM CT to March 1, 2009 at 11:59:59 PM CT, the top twenty (20) entries (as determined above and subject to compliance with these Official Rules) will be further judged in order to select the top three (3) entries (each a “Potential Winner”), this time based on the following three criteria (each criterion is followed by its weight in parentheses): (a) Taste (50%,); (b) ease of preparation (25%); and (c) top number of votes awarded during the Online Voting Period (25%). In the event of a tie, an additional, “tie-breaking” Contest Judge will determine the Potential Winner(s) based on the criteria listed herein. Sponsor reserves the right not to award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. The Contest Judges’ decisions shall be final and binding.

The Potential Winners, as determined by Sponsor in its sole discretion, will be eligible to win the Prize described below (see Rule #5), subject to verification of eligibility and compliance with these Official Rules. The Potential Winners may be subject to an interview by the Contest Judges to determine the authenticity of their Entries, and they may be disqualified if the Entries have not complied with these Official Rules, as determined by the Contest Judges in their sole discretion. Potential Winners may also be subject to a background check, as determined by the Sponsor in its sole discretion; if the results of the background check are not satisfactory to Sponsor in its sole discretion, the Potential Winner may be disqualified and a runner-up may be notified. Each Potential Winner may be required to provide proof (to Sponsor’s satisfaction) that he/she owns all rights to the Entry. Failure to comply with any of these requirements may, at Sponsor’s sole discretion, result in disqualification and a runner-up may be notified. The Winners’ names and recipes will be posted at www.epicurious.com between March 4, 2009 and March 31, 2009.

5. PRIZES: Each of the three (3) Winners will receive one (1) $500.00 CHEFS gift card, plus sixty (60) free-product coupons (twelve (12) of each) to be used towards purchases of the following products:

Contadina® Diced Tomatoes, 14.5 oz. or smaller (maximum ARV per coupon: $2.50)
Contadina® Tomato Paste, 8 oz. or smaller (maximum ARV per coupon: $1.50)
Contadina® Tomato Sauce, any size (maximum ARV per coupon: $2.00)
Contadina® Crushed Tomatoes, any size (maximum ARV per coupon: $3.25)
Contadina® Tomato Puree, any size (maximum ARV per coupon: $3.25)

The recipe of the three (3) finalists confirmed will appear on a can of Del Monte Contadina brand at Sponsor’s sole discretion. In addition, each of the three (3) finalists will be asked to attend a photo shoot in his/her hometown as the photo will also, in Sponsor’s sole discretion, appear on the product chosen. Note: recipes contents may be revised at Sponsor’s sole discretion dependant upon brand/size of can chosen for publication.

Approximate retail value of each prize: $650.00.

Total value of prizes available to be won: USD $1,950.00. Use of gift cards is subject to the terms and conditions of the respective issuer. Prizes are not transferable or redeemable for cash and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. All federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the Winners’ responsibility. All prize details are at the Sponsor’s sole discretion. Limit: maximum of one (1) prize per person.

6. WINNER NOTIFICATION: Potential winners may be notified via mail, and may be required to execute and return an Affidavit of Eligibility, a Liability Release, and, where lawful, a publicity release within the time period specified by Sponsor. Upon verification of Potential Winner’s compliance with these Official Rules, prizes will be mailed via U.S. post to each Winner’s address, as provided in the registration form. If any Winner is at least 18, but considered a minor in his/her state of residence, the prize will be awarded to his/her parent or legal guardian who must sign and return all required documentation outlined herein and otherwise comply with all requirements imposed on Winners set forth herein. If a Potential Winner is found to be ineligible or not in compliance with these Official Rules, declines to accept a prize, or Sponsor is unable to contact a Potential Winner within a reasonable period, or in the event that a prize notification or prize is returned undeliverable, the prize will be forfeited and, at the Sponsor’s sole discretion, prize may be awarded to an alternate Winner. Potential Winners (or parent/legal guardian where applicable) may be required to furnish proof of identification.

Allow 6 to 8 weeks for verification and shipment of your prize after verification. Sponsor and its Contest Entities shall not be held responsible for any delays in awarding prizes for any reason. Prizes will only be delivered to verified Winners.

By entering this Contest, Winners consent to the use of their names, addresses (cities and states), voices, and statements relating to the Contest or Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity, promotion or advertising carried out by Sponsor or any related entities in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law.

CONDITIONS OF ENTRY:

7. By entering, entrants (i) acknowledge compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Sponsor and/or Contest Judges, made in their sole discretion, which shall be final and binding in all matters relating to this Contest. Entrants who have not complied with these Official Rules are subject to disqualification and all associated entries will be void.

9. Contest Entities are not responsible for late, lost, damaged, stolen, misdirected, mutilated, garbled, illegible or incomplete entries or votes. Proof of transmission (including, without limitation screenshots or captures of Entry, etc.) and/or submitting does not constitute proof of delivery. All entries become the property of Sponsor and in no case shall be returned to sender.

10. The Sponsor reserves the right to disqualify any entrant’s registration in the Contest (and void all associated entries) or entitlement to a prize, if, in the sole discretion of the Sponsor, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices (including any Entries generated by script, macro, robotic, programmed, or any other automated means).

11. If a dispute arises regarding who submitted an entry, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of entry and must comply with these Official Rules. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

12. As a condition of entering, entrants (or their parent or legal guardian if an eligible minor) agree: (a) to release Sponsor and Contest Entities, and each of their officers, directors, employees and agents, from any and all liability, loss or damage incurred with respect to participating in the Contest or the awarding, receipt, possession, and/or use or misuse of any prize or any travel related thereto, (b) that under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event will entrants be entitled to receive attorneys’ fees and court costs.

CONTEST OPERATION:

13. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Contest at any time, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity or proper play of the Contest and, if cancelled, at Sponsor’s discretion, to select the Winners from all eligible entries using the procedure outlined above.

14. Sponsor and the Contest Entities do not warrant that access to the Contest will be uninterrupted. Sponsor and the Contest Entities are not responsible for any problems that may arise, including but not limited to; (a) lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, Websites, or other connection, availability or accessibility problems arising in connection with or over the course of the Contest; or (b) communications failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions or hardware or software malfunctions, failures or difficulties; or (c) failure of personal computers and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of any prize or in any prize notification documents; or (d) for any other errors of any kind relating to or in connection with the Contest, whether human, mechanical, clerical, electronic, or technical or otherwise, including, without limitation, any errors which may occur in connection with the administration of the Contest, the processing of registrations or entries, the uploading of Recipes, the judging of entries. the tabulation of votes, the announcement of the prizes or in any other Contest-related materials; or (e) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Contest; or (f) damage to a user's computer system occasioned by participation in this Contest or downloading any information necessary to participate in this Contest.

DISCLOSURES:

15. Any attempt by an entrant or other individual, to deliberately damage any website or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Entrant engaging in any of the foregoing activities may be disqualified, all associated entries and/or votes will be void and will forfeit any prize(s) won.

16. In the event of any conflict with any Contest details contained in these Official Rules and Contest details contained in Contest Materials ( including but not limited to point of sale, television, and print advertising, promotional packaging, and other promotion media), the details of the Contest as set forth in these Official Rules shall prevail.

17. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of California without regard to California conflicts of law principles. All entrants consent to the jurisdiction and venue of the State of California.

18. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sponsor’s employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.

19. This Contest is solely sponsored by Del Monte Corporation, One Market @ The Landmark, San Francisco, CA 94105.

20. For a list of the Winners, send a self-addressed postage stamped envelope to: “Contadina®’s Faces of Contadina Contest”, P.O. Box 1463, South Bend, IN 46624-1463, to be received by March 31, 2009. Winners list will be sent after all prizes have been awarded. The Winners’ names will also be available at epicurious.com.
